说明: 本文与《OKSPEAK 隐私政策》配套使用。凡涉及"收集哪些数据、去了哪里、留了多久"的问题,以《隐私政策》为准;本条款规定的是您与我们之间使用本服务的权利与义务。
本文正式发布前应经中国及相关法域的法律专业人士审阅。
1. 条款的接受
本服务条款(以下简称"本条款")是您与武汉山河世纪科技有限公司(以下简称"我们")之间就您使用 OKSPEAK 桌面客户端、官方网站及相关服务(合称"本服务")所订立的协议。
首次注册/登录时,您需要通过一个统一的必选框确认已阅读并同意本条款与《OKSPEAK 隐私政策》;两个文件分别提供可点击链接,但您只需勾选一次。我们不会在每次使用、切换网络或触发跨境路由时重复弹窗。如果您不同意其中任何内容,请不要注册或使用本服务。
如果您代表某一组织使用本服务,您声明并保证您已获得该组织的授权,可代表其接受本条款。
2. 我们是谁
本条款项下的一切通知、请求与投诉,均可发送至 developer@okspeakai.com。
3. 定义
- 本服务:OKSPEAK 桌面客户端、官方网站 www.okspeakai.com 及我们提供的相关功能。
- 账号:您通过邮箱、微信或手机号注册/登录后用于访问本服务的凭证。
- 您的内容:您在使用本服务过程中说出、输入或由本服务为您生成的语音、文字及相关文本。
- 输入上下文:为完成语音转写与文本整理,本服务从您当前输入场景读取的少量周边信息(如输入框文本、光标前后文、前台应用名与窗口标题等),具体范围以《隐私政策》为准。
4. 资格与账号
4.1 年龄与资格
本服务仅面向 18 周岁及以上的成年人。未满 18 周岁的人员不得注册或使用本服务;如您所在法域要求更高的最低年龄,则以该更高年龄为准。
4.2 登录方式
国内区支持邮箱账号密码登录、微信扫码登录、手机号验证码登录;国际区支持邮箱登录。登录方式的可用性取决于您所属的区与当时的服务配置。
邮箱、微信和手机号登录分别创建相互独立的账号,当前不会自动合并,也暂不支持将手机号或微信绑定到已有邮箱账号。同一人使用不同方式登录时,可能形成多个账号,彼此的历史、用量和账号数据不互通。
您应对通过任一方式登录的账号项下发生的一切活动负责。您同意:
- 提供真实、准确的注册信息;
- 妥善保管您的登录凭证(密码、手机、微信账号及本机会话),不向他人泄露;
- 如发现账号被未经授权使用,立即通过 developer@okspeakai.com 通知我们。
4.3 账号安全
本服务将您的登录会话保存在您本机的系统凭据存储(keychain)中。请您自行保管您的设备安全。因您自身原因(如设备丢失、凭证泄露、授权他人使用)导致的损失,由您自行承担。
5. 服务说明
OKSPEAK 是一款语音输入工具:您按下快捷键说话,我们把语音转成文字、整理后写入您当前正在使用的输入框。
请您在使用前充分理解本服务的核心工作方式: 为实现语音转写与文本整理,您的语音音频与少量输入框周边上下文必须离开您的电脑,经由我们的服务器发送给第三方语音识别与大语言模型服务商处理。这是本产品的核心工作方式,无法在保留功能的前提下关闭。 数据的具体流向、留存与第三方名单,详见《隐私政策》第 7、8 节。
本服务分为国内区与国际区,客户端在打包时即确定所属区。账号上的"区"标记仅用于展示与用量统计,不决定您的数据发给哪家服务商。
6. 您的内容与授权
您的内容归您所有。 我们不主张对您说出、输入或经本服务生成的文字拥有所有权。
为了向您提供本服务,您授予我们一项有限的、非独占的、可撤销的许可,允许我们及为实现本服务功能所必需的第三方服务商,仅为向您提供语音转写、文本整理与写入功能之目的,对您的内容进行处理、传输与临时处理。该许可的范围严格限于提供本服务本身。
我们不会使用您的内容训练我们自有的模型(我们目前不存在任何模型训练管线)。第三方服务商对经其处理数据的留存,受其各自政策约束,详见《隐私政策》。
您对您的内容负责,并声明保证:您对所输入的内容拥有必要的权利;您输入的内容不侵犯他人权利、不违反法律。
7. 可接受使用
您同意在使用本服务时不得从事下列行为:
- 违反任何适用法律法规,或利用本服务生成、传播违法、侵权、暴力、欺诈或其他不当内容;
- 未经合法授权,输入、上传他人的个人信息、敏感信息或涉密信息;
- 侵犯他人知识产权、隐私权或其他合法权益;
- 对本服务进行反向工程、反编译、拆解(法律明确允许的范围除外),或试图获取源代码;
- 通过自动化手段滥用、干扰、过载本服务,或规避、破坏本服务的安全机制与访问控制;
- 未经我们书面许可,将本服务用于转售、二次分发,或用于构建与本服务竞争的数据集或产品;
- 冒用他人身份,或以虚假信息注册、登录。
如您违反本节,我们有权在不另行通知的情况下暂停或终止您对本服务的使用(见第 12 节)。
8. 第三方服务商
本服务依赖第三方完成语音识别、文本整理、搜索、短信、登录等功能。经其处理的数据类型、所在地及跨境情况,详见《隐私政策》第 7、8 节。这些第三方对其所处理的数据可能另有其自身的条款与政策。
关于自带密钥(BYOK): 若本服务提供"使用您自己的模型密钥"功能,您所配置的密钥、接口地址及由此产生的数据流向由您自行选择并负责;我们不限制、亦不核验您所配置的目标服务商与所在国家/地区,无法对其留存或合规作出承诺。
9. 关于 AI 输出的免责
语音识别与大语言模型整理可能出错:转写可能有误、整理可能改变原意或产生不准确、不完整的结果。
- 本服务的输出不构成任何法律、医疗、财务或其他专业意见;
- 在将输出用于任何重要用途前,请您自行核对其准确性;
- 您对如何使用本服务的输出、以及由此产生的后果负责。
10. 费用
本服务目前免费提供,我们当前不收取任何费用、不接入任何支付渠道。
我们保留未来推出付费功能或计划的权利。若推出,我们将事先明确告知定价与条款,且不影响您对当时免费功能的既有使用,除非另有说明。
11. 知识产权
本服务的软件、界面、商标、标识及相关内容(您的内容除外)的知识产权归我们或相应权利人所有。
在您遵守本条款的前提下,我们授予您一项有限的、非独占的、不可转让的许可,允许您为自身正常使用之目的使用本服务。除此之外,本条款未明示授予您任何其他权利。
12. 服务的变更、中断与终止
12.1 我们的权利
本服务按"现状"提供。我们可能不时更新、修改、暂停或终止本服务的全部或部分功能。对于重大变更,我们将尽合理努力事先告知。
12.2 您的权利
您可以随时停止使用本服务。
关于账号注销与数据删除: 我们目前尚未上线自助注销/数据导出入口。在该功能上线前,如您希望注销账号或删除、导出您的数据,请发送邮件至 developer@okspeakai.com,我们将通过人工流程处理。相关权利与响应时限详见《隐私政策》。
12.3 违约终止
如您违反本条款,我们有权在合理范围内暂停或终止您对本服务的使用。终止后,本条款中依其性质应继续有效的条款(如知识产权、免责、责任限制、争议解决)继续有效。
13. 免责声明
在适用法律允许的最大范围内,本服务按"现状"和"现有"提供,我们不就本服务作出任何明示或默示的保证,包括但不限于对适销性、特定用途适用性、不侵权、不中断、无错误的保证。
我们不保证本服务不会中断、及时、安全或无差错,也不保证语音识别或文本整理结果的准确性、完整性或适用性。
14. 责任限制
在适用法律允许的最大范围内:
- 我们不对任何间接的、附带的、特殊的、后果性的损失,或数据丢失、利润损失、商誉损失承担责任;
- 在任何情况下,我们就本服务向您承担的累计责任总额,以法律允许的最低限度为限。
部分法域不允许对某些责任予以排除或限制,则上述限制在该法域内以法律允许的范围为准;您依当地强制性法律享有的权利不受影响。
15. 用户的赔偿责任
因您违反本条款、违反法律或侵犯他人权利而使用本服务,导致我们遭受第三方索赔、损失或费用(含合理律师费)的,您应在适用法律允许的范围内予以赔偿。
16. 适用法律与争议解决
本条款的订立、效力、解释、履行及争议解决,适用中华人民共和国大陆地区法律(不含冲突法规则)。
因本条款或本服务产生的争议,双方应首先友好协商解决;协商不成的,任何一方可向武汉山河世纪科技有限公司工商登记住所地有管辖权的人民法院提起诉讼。
对于国际区用户: 您依所在地强制性法律享有的消费者权利不受本条款影响。
17. 条款的变更
我们可能不时修订本条款。修订后的条款一经在官方网站或客户端公布即生效。对于重大变更,我们将以合理方式(如客户端提示或站内公告)通知您。
在变更生效后继续使用本服务,即视为您接受修订后的条款。 如您不同意,请停止使用本服务。
18. 其他
- 可分割性: 本条款任一条款被认定无效或不可执行的,不影响其余条款的效力。
- 完整协议: 本条款与《隐私政策》构成您与我们之间就本服务达成的完整协议。
- 语言: 本条款以中文版本为准;如提供其他语言版本仅为便利,冲突时以中文版本为准(国际区以英文版本为准)。
- 不弃权: 我们未行使或迟延行使本条款项下任何权利,不构成对该权利的放弃。

OKSPEAK Terms of Service

Note: These Terms are used together with the OKSPEAK Privacy Policy. For any question about what data is collected, where it goes, and how long it is kept, the Privacy Policy governs; these Terms govern your rights and obligations when using the service.
This document should be reviewed by qualified legal counsel in the PRC and other relevant jurisdictions before publication.
1. Acceptance of these Terms
These Terms of Service (the "Terms") are an agreement between you and Wuhan Shanhe Century Technology Co., Ltd. ("we", "us", "our") regarding your use of the OKSPEAK desktop client, official website, and related services (together, the "Service").
At first registration/sign-in, you must use one required checkbox to confirm that you have read and accept these Terms and the OKSPEAK Privacy Policy. Each document has its own clickable link, but you check only once. We do not show another pop-up each time you use the Service, switch networks, or trigger cross-border routing. If you do not agree with either document, do not register or use the Service.
If you use the Service on behalf of an organization, you represent that you are authorized to accept these Terms on its behalf.

3. Definitions
- Service — the OKSPEAK desktop client, the website www.okspeakai.com, and related features we provide.
- Account — the credential you use to access the Service after registering/signing in via email, WeChat, or phone number.
- Your Content — the voice, text, and related text you speak, type, or that the Service generates for you while you use it.
- Input context — the small amount of surrounding information the Service reads from your current input scenario to perform transcription and text clean-up (such as input-field text, cursor context, foreground app name and window title). The exact scope is described in the Privacy Policy.
4. Eligibility and accounts
4.1 Age and eligibility
The Service is available only to adults aged 18 or older. Anyone under 18 must not register or use the Service. If your jurisdiction requires a higher minimum age, that higher age applies.
4.2 Sign-in methods
The China region supports email + password, WeChat QR sign-in, and phone-number one-time-code sign-in; the International region supports email sign-in. Availability of each method depends on your region and the service configuration at the time.
Email, WeChat and phone sign-in each create a separate account. They are not automatically merged, and a phone number or WeChat identity cannot currently be bound to an existing email account. The same person using different methods may therefore create multiple accounts with separate history, usage and account data.
You are responsible for all activity under an account signed in by any method. You agree to:
- provide true and accurate registration information;
- keep your sign-in credentials (password, phone, WeChat account, and the local session) secure and not disclose them to others;
- notify us immediately at developer@okspeakai.com if you discover unauthorized use of your account.
4.3 Account security
The Service stores your sign-in session in your operating system's credential store (keychain) on your own device. You are responsible for the security of your device. Losses arising from causes attributable to you (such as a lost device, leaked credentials, or authorizing others to use the Service) are borne by you.
5. Description of the Service
OKSPEAK is a voice-input tool: you press a shortcut and speak, and we turn your speech into text, clean it up, and write it into the input field you are currently using.
Please fully understand how the Service works before using it: to perform transcription and text clean-up, your voice audio and a small amount of input-field context must leave your computer and be sent through our servers to third-party speech-recognition and large-language-model providers for processing. This is how the product fundamentally works and cannot be turned off while keeping the feature. The exact data flows, retention, and list of third parties are described in Sections 7 and 8 of the Privacy Policy.
The Service ships as a China region and an International region build, fixed when the client is packaged. The "region" label on your account is used only for display and usage metering; it does not determine which providers your data is sent to.
6. Your Content and license
Your Content belongs to you. We do not claim ownership of the text you speak, type, or that the Service generates for you.
To provide the Service to you, you grant us a limited, non-exclusive, revocable license — extending to the third-party providers necessary to operate the Service — to process, transmit, and temporarily handle Your Content solely for the purpose of providing transcription, text clean-up, and insertion to you. The scope of this license is strictly limited to providing the Service itself.
We do not use Your Content to train our own models (we currently operate no model-training pipeline). Retention of data processed by third-party providers is governed by their respective policies, as described in the Privacy Policy.
You are responsible for Your Content and represent that you have the rights necessary for what you input, and that it does not infringe the rights of others or violate the law.
7. Acceptable use
You agree not to do any of the following when using the Service:
- violate any applicable law, or use the Service to generate or distribute unlawful, infringing, violent, fraudulent, or otherwise improper content;
- input or upload others' personal data, sensitive data, or confidential information without lawful authorization;
- infringe the intellectual property, privacy, or other lawful rights of others;
- reverse engineer, decompile, or disassemble the Service (except where expressly permitted by law), or attempt to obtain its source code;
- abuse, interfere with, or overload the Service by automated means, or circumvent or defeat its security mechanisms and access controls;
- resell or redistribute the Service, or use it to build a dataset or product competing with the Service, without our written permission;
- impersonate others, or register/sign in using false information.
If you breach this section, we may suspend or terminate your use of the Service without prior notice (see Section 12).
8. Third-party providers
The Service relies on third parties for speech recognition, text clean-up, search, SMS, and sign-in. The categories of data they process, their locations, and cross-border transfers are described in Sections 7 and 8 of the Privacy Policy. These third parties may have their own terms and policies for the data they process.
Bring-your-own-key (BYOK): if the Service offers a "use your own model key" feature, the key, endpoint, and resulting data flow you configure are chosen by and are the responsibility of you; we neither restrict nor verify the destination provider or its country/region, and can make no commitment about its retention or compliance.
9. Disclaimer about AI output
Speech recognition and large-language-model clean-up can be wrong: transcription may be inaccurate, and clean-up may change your meaning or produce incomplete or inaccurate results.
- Output of the Service does not constitute legal, medical, financial, or other professional advice;
- review its accuracy yourself before relying on the output for anything important;
- you are responsible for how you use the output and for the consequences.
10. Fees
The Service is currently provided free of charge; we do not currently collect any fees or integrate any payment channel.
We reserve the right to introduce paid features or plans in the future. If we do, we will clearly disclose pricing and terms in advance, without affecting your existing use of features that are free at that time unless otherwise stated.
11. Intellectual property
The intellectual property in the Service's software, interface, trademarks, logos, and related content (other than Your Content) belongs to us or the respective rights holders.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to use the Service for your own normal use. No other rights are granted to you except as expressly stated in these Terms.
12. Changes, interruption, and termination of the Service
12.1 Our rights
The Service is provided on an "as is" basis. We may update, modify, suspend, or discontinue all or part of the Service from time to time. For material changes, we will make reasonable efforts to notify you in advance.
12.2 Your rights
You may stop using the Service at any time.
Account closure and data deletion: we have not yet launched self-service account deletion or data export. Until that feature ships, if you wish to close your account or delete/export your data, please email developer@okspeakai.com and we will handle it through a manual process. The relevant rights and response times are described in the Privacy Policy.
12.3 Termination for breach
If you breach these Terms, we may suspend or terminate your use of the Service to a reasonable extent. Provisions that by their nature should survive (such as intellectual property, disclaimers, limitation of liability, and dispute resolution) survive termination.
13. Disclaimer of warranties
To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, or error-free operation.
We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, nor that speech-recognition or text-clean-up results will be accurate, complete, or fit for your purpose.
14. Limitation of liability
To the maximum extent permitted by applicable law:
- we are not liable for any indirect, incidental, special, or consequential losses, or for loss of data, profit, or goodwill;
- in any event, our aggregate liability to you arising from the Service is limited to the minimum extent permitted by law.
Some jurisdictions do not allow the exclusion or limitation of certain liabilities; in those jurisdictions the above limitations apply only to the extent permitted by law, and your mandatory statutory rights are not affected.
15. Indemnification
To the extent permitted by applicable law, you will indemnify us for third-party claims, losses, or costs (including reasonable legal fees) arising from your use of the Service in breach of these Terms, in violation of law, or in infringement of others' rights.
16. Governing law and disputes
The formation, validity, interpretation, and performance of these Terms, and the resolution of disputes, are governed by the laws of mainland China (excluding conflict-of-laws rules).
Disputes arising from these Terms or the Service should first be resolved through good-faith negotiation; failing that, either party may bring proceedings before the People's Court with jurisdiction over the registered domicile of Wuhan Shanhe Century Technology Co., Ltd.
For International-region users: your mandatory consumer rights under your local law are not affected by these Terms.
17. Changes to these Terms
We may revise these Terms from time to time. Revised Terms take effect when published on the website or in the client. For material changes, we will notify you by reasonable means (such as an in-client prompt or a site notice).
Continuing to use the Service after a change takes effect means you accept the revised Terms. If you do not agree, stop using the Service.
18. Miscellaneous
- Severability: if any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in effect.
- Entire agreement: these Terms together with the Privacy Policy constitute the entire agreement between you and us regarding the Service.
- Language: the Chinese version of these Terms prevails for China-region users; this English version prevails for International-region users. Other-language versions are provided for convenience only.
- No waiver: our failure or delay in exercising any right under these Terms is not a waiver of that right.
